Welcome to SimserviceHub! Our mission is to connect our customers with
verified and trusted tradespeople across Africa. By using our
platform, customers can search for, find, and contact tradespeople in
their local area, while tradespeople can showcase and offer their
professional services to customers.
1.1 Who We Are
1.1.1 The platform is provided to you by us, Simul Management
Solutions, trading as ‘SimserviceHub’. Our registered office is at
Plot 9, Gbagada Industrial Scheme, beside UPS, Gbagada-Oworonshoki
Expressway, Lagos, Nigeria.
1.1.2 For the purposes of these terms, “SimserviceHub,” “we,” “us,” or
“our” refers to Simul Management Solutions, trading as SimserviceHub.
The words “you,” “your,” or “user” refer to you, as a user of the
platform, whether you are a customer or a Artisan. Specific
terms applicable to “customer,” “Artisan,” or “tradespeople” are
identified as such.
1.1.3 SimserviceHub operates the platform to introduce customers and
tradespeople, acting as an intermediary that matches customers with
tradespeople for home improvement, repair, and related services
across Africa. Our responsibility is strictly limited to our role as
operator of the platform. We are not responsible for the quality,
standards, delivery, or any other aspect of the services rendered by
any Artisan, nor for any agreement entered between a customer
and a Artisan through the platform.
1.1.4 The platform offers a process for facilitating payments between
customers and tradespeople for services. The payment service is
provided by a third-party payment processor. While we facilitate this
service, we are not responsible for the payment processor’s
performance. If you encounter payment-related issues, our support
team is available to assist you.
1.1.5 Any personal information that you provide to us, or that we
collect about you, will be handled in accordance with our Privacy
Policy.
1.1.6 If you are a Artisan, the terms governing your use of
payment services are outlined in the relevant Membership Terms and
related agreements.
1.1.7 These Terms of Use (“Terms”) set out the rights and obligations
of SimserviceHub, its customers, and tradespeople concerning platform
usage. These Terms do not govern the contractual relationship between
a customer and a Artisan for services. Any arrangement made
between a Artisan and a customer is a separate contract to which
SimserviceHub is not a party and bears no liability.
1.1.8 These Terms provide an overview of the rights and obligations
of both customers and tradespeople using the platform. Please read
them carefully. Should you have any questions or concerns, contact us
via the Contact Us page on our website. Particular attention is drawn
to Clauses 5.2 and 7, which outline the basis for any payment
services and important limitations on our liability.
1.2 How to Use Our Platform
1.2.1 The platform comprises:

1.2.2 The platform must be used in compliance with all terms,
policies, and guidelines in force at any time.

Terms to know what you can expect from us and what we expect from
you.
1.3.2 These Terms incorporate the SimserviceHub Privacy Policy (for
both customers and tradespeople), the Cookie Policy, and other
applicable policies. These documents form part of these Terms and
govern your use of the platform.
1.3.3 If you are a Artisan, your Membership Contract is a
separate agreement outlining the terms of your membership, the
services available to you, and our expectations. Both the Membership
Contract and these Terms apply to you as a Artisan.
1.3.4 If you disagree with or cannot comply with these Terms, you
must immediately discontinue using the platform.
2. NATURE OF USE
2.1 Usage Agreement
By using, accessing, or continuing to use the SimserviceHub platform, including its search and messaging functionality, you agree to comply with and be bound by these Terms. If you do not agree to abide by these Terms, you must discontinue your use of the platform immediately.
2.2 Provision of the Platform
2.2.1 Geographic Availability
The platform is intended for use by individuals within Africa. While access may be possible from outside Africa, the platform is specifically designed for African tradespeople and customers.
2.2.2 Data Usage Responsibility
You acknowledge that your agreement with your mobile network or internet service provider governs your data usage while accessing the platform. Charges may apply for such use, and you are solely responsible for these charges. If you are not the bill payer for the device being used, you must obtain permission from the bill payer before accessing the platform.
2.2.3 Platform Suitability
The platform is not tailored to meet individual requirements. We cannot guarantee compatibility with all hardware or software or that the platform will meet your specific needs.
2.3 Age Certification
The platform is intended for individuals aged 18 years or older. By using the platform, you confirm that you are at least 18 years old.
2.4 Identity and Verification
2.4.1 Customer Accounts
To access certain features, such as managing ongoing jobs or leaving reviews, customers must create an account. Each customer may only create one account, which must be for personal use. Account creation requires verification, including providing specific personal information, some of which may be visible to others on the platform.
2.4.2 Artisan Membership
Tradespeople must apply for and gain membership, which includes passing our vetting process, to create a profile and access the platform. If multiple individuals share an account, such as employees of the same business, the individual whose financial details are on the account will be responsible for all activities linked to that account.
2.4.3 Verification and Fraud Prevention
We reserve the right to verify user identities and other relevant details to protect against fraudulent or illegal activity. This may include requiring additional verification.
2.4.4 Providing Information
Users must provide requested information promptly. Personal information will be handled in line with the SimserviceHub Privacy Policy. Refusal to provide information or suspicion of fraud may result in account suspension or cancellation under Clause 8.1.
2.5 Security
2.5.1 Device Security
Users are responsible for securing the devices used to access their accounts.
2.5.2 Unauthorized Access
If you suspect unauthorized access to your account, notify us immediately at sms-it-service@simu-l.com and secure your account credentials.
2.5.3 Security Breaches
In cases of suspected security breaches, we may notify you and require corrective actions. This may include suspending or deactivating your account.
2.6 Reporting Concerns
If you believe content on the platform violates applicable laws, our Acceptable Use Policy, or your intellectual property rights, please report your concerns to sms-it-service@simu-l.com.
3. ACCEPTANCE AND USE
3.1 Use and Matching
3.1.1 Customer Job Posting
Customers can post job requests to find suitable tradespeople in their area. Job postings should include a description of the required work, photos (if applicable), and timelines.
3.1.2 Artisan Matching
The platform will match customers with local tradespeople, displaying profiles that include ratings, services, and skills.
3.1.3 Customer Responsibility
Customers are solely responsible for evaluating trades people's suitability for the required services.
3.1.4 Communication Management
Customers can submit messages and manage job postings directly through the platform.
3.1.5 Artisan Acceptance
Tradespeople may accept or decline job requests at their discretion.
3.1.6 Job Agreement
If a Artisan agrees to assist, they can provide a quote, and the customer can finalize the arrangement by
selecting their availability.
3.1.7 Customer-Artisan Contract
All engagements between customers and tradespeople are separate contracts. It is recommended to document
agreements, including scope and cost, in writing.
3.1.8 In-Platform Communication
The platform provides messaging, voice, and video call functionality to facilitate communication between
customers and tradespeople. All communication must comply with the Acceptable Use Policy.
3.1.9 Quotes and Pricing
Quotes provided on the platform are solely from tradespeople and are not endorsed by SimserviceHub. Any
agreement reached is a private contract.
3.1.10 Disputes
Disputes between customers and tradespeople must be resolved between the parties. By using the platform, you
release SimserviceHub from liability for any claims arising from such disputes.
3.1.11 No Platform Liability
SimserviceHub is not liable for any agreements or services provided between customers and tradespeople.
Customers are encouraged to verify trades people's qualifications and proceed only when satisfied.
3.2 Engagement
3.2.1 User-Generated Content
On SimserviceHub, you may choose to submit, upload, or share text, photographs, images, videos, reviews,
information, and materials (collectively referred to as “Your Content”) within certain parts of the platform.
3.2.2 Content Responsibility
You are solely responsible for Your Content. It must be accurate, true, up to date, genuine, and not misleading.
All submissions must comply with these Terms and applicable laws in Africa and any other jurisdiction from
which the content is posted or accessed.
3.2.3 Monitoring and Risk Mitigation
We actively manage and mitigate risks associated with illegal or harmful content. We reserve the right to
monitor and review Your Content, as well as other users' content, in accordance with our Acceptable Use Policy,
Deactivation Policy, and internal guidelines. Monitoring may involve automated systems or artificial
intelligence tools.
3.2.4 Content Removal
If your content breaches these Terms, applicable laws, or any of our other policies, we may remove or edit it.
Your account may also be suspended or terminated for such violations.
3.2.5 Content Verification
Unless explicitly stated otherwise, SimserviceHub does not verify or approve the content shared on the platform.
By using the platform, you acknowledge and accept this condition.
3.2.6 Disclosure of Identity
We may disclose your identity to third parties if your content is alleged to infringe on their intellectual
property or privacy rights. We are not responsible for any claims or issues arising from such disclosures.
3.2.7 Content Retention
We do not guarantee the retention of Your Content on the platform. Content may be removed at our discretion,
including for business or operational reasons.
3.2.8 Content Editing
We reserve the right to edit Your Content for spelling, grammar, punctuation, and length to enhance clarity and
ensure compliance with these Terms.
3.2.9 Content Responsibility
All content, whether publicly posted or privately transmitted, is the sole responsibility of its provider.
SimserviceHub assumes no liability for any claims or losses arising from such content.
3.2.10 Request for Content Removal
If you wish for your content to be removed, contact us at sms-it-service@simu-l.com.
3.3 Data Privacy and Cookies
3.3.1 Personal Information
Your privacy and personal information are of utmost importance to us. Any personal data collected under these
Terms or through the platform will be managed in accordance with the SimserviceHub Privacy Policy. This policy
details the data we collect, its use, storage, and your rights concerning your personal information.
3.3.2 Cookies
Our Cookie Policy governs the use of cookies and similar technologies on the platform. By using SimserviceHub,
you consent to the application of this policy.
3.4 Uptime / Downtime
3.4.1 Platform Availability
We do not guarantee uninterrupted availability of the platform or its features.
3.4.2 Maintenance and Updates
Occasionally, the platform may be inaccessible due to maintenance, updates, or emergency fixes.
3.4.3 Functional Changes
We may modify or remove certain features of the platform. However, we will ensure that the platform continues
to meet its described functionality at the time of your usage.
3.4.4 External Dependencies
Platform functionality depends on various external factors. SimserviceHub is not liable for service disruptions
caused by matters beyond our control.
3.4.5 Disclaimer
Your use of the platform is at your own risk. The platform is provided "as is" and "as available," without
warranties of any kind, whether express or implied.
3.4.6 Updates
Updates to the platform may automatically download or require manual installation, depending on your device and
settings.
3.4.7 Update Recommendations
We strongly recommend downloading updates promptly to ensure optimal performance and security. Failure to
install updates may result in service disruptions or increased security risks.
4. Services
4.1 Connecting Customers and Tradespeople
4.1.1 As a customer, if you choose to hire a Artisan via SimserviceHub, your contract for the services is
directly with that Artisan. SimserviceHub facilitates the connection between customers and tradespeople
but is not a party to any service agreement or contract. As such, SimserviceHub will not be held liable for any
direct, indirect, or consequential loss or damage arising from, or in connection with, the service agreement or
a customer’s decision to hire a Artisan through the platform.
4.1.2 SimserviceHub uses a proprietary search ranking algorithm to match customers with tradespeople based on
specific search criteria. The platform ensures fair distribution of matches using a variety of factors, such as:
- The quality and completeness of the Artisan’s profile.
- Customer reviews and ratings.
- Local supply and demand dynamics.
- The relevance of Artisan skills to the customer’s needs.
- Geographic proximity and environmental considerations.
For tradespeople, more details on how search ranking impacts visibility can be found in the Membership
Agreement.
4.1.3 Customers are under no obligation to accept a quote from a Artisan sourced via the platform. The
decision to proceed or decline is solely at the customer’s discretion.
4.1.4 To the extent permitted by law, SimserviceHub disclaims liability for theft, property damage, financial
loss, or other issues arising from services rendered by tradespeople. Customers are encouraged to perform due
diligence when hiring tradespeople through the platform.
4.1.5 You acknowledge that SimserviceHub does not provide any warranty, representation, or guarantee regarding
the quality, timeliness, legality, or integrity of the services delivered by tradespeople.
4.2 Vetting
4.2.1 While SimserviceHub takes reasonable steps to verify the information provided by tradespeople, the data
compiled on the platform is based on submissions from users and third parties. This information does not
necessarily reflect the views of SimserviceHub, which cannot be held liable for inaccuracies or omissions.
4.2.2 SimserviceHub undertakes a comprehensive vetting process to verify the credentials and business status of
tradespeople registered on the platform. This includes:
- Reviewing feedback from customers through a structured monitoring process.

Collecting recommendations from users to improve the reliability and reputation of tradespeople on the
platform.
4.2.3 The outcomes of vetting, monitoring, and recommendations are reflected in a Artisan’s profile to:
- Enhance accountability and transparency among tradespeople.
- Promote high standards of service, quality workmanship, and ethical practices.

Enable customers to make informed hiring decisions while avoiding unscrupulous operators.
4.2.4 As part of the vetting process, SimserviceHub requests proof of public liability insurance (PLI) from
tradespeople. While efforts are made to monitor the validity of these insurance policies, the platform cannot
guarantee that tradespeople maintain valid insurance between verification periods.
4.2.5 In cases where SimserviceHub is notified of expired PLI coverage, a warning notice is displayed on the
Artisan’s profile. However, customers are advised to independently verify a Artisan’s insurance
status before work commences.
4.3 Trade Specific
4.3.1 The terms of the Membership Contract apply to all tradespeople utilizing the platform. These terms are
binding in addition to the general Terms and Conditions.
4.3.2 Tradespeople consent to the collection of information related to their usage of the platform, which may
be disclosed to regulatory authorities as required by African law or for compliance purposes.
4.3.3 SimserviceHub acts solely as an intermediary for tradespeople and customers. The platform does not assume
responsibility for tradespeople’s tax compliance or legal obligations.
4.4 Reviews by Customers
- 4.4.1 Customers are encouraged to leave honest reviews about their experiences with tradespeople. Reviews must comply with the platform’s Acceptable Use Policy and should not be misleading, offensive, or in violation of any law or rights of others.
- 4.4.2 Reviews must reflect personal experiences and should not be incentivized or used for marketing purposes. The submission of false or fabricated reviews is strictly prohibited and may result in account suspension.
- 4.4.3 Personal information about third parties must not be included in reviews.
- 4.4.4 Fake or manipulated reviews intended to influence consumer perception or harm a Artisan’s reputation are strictly forbidden. Violators will face immediate account suspension.
- 4.4.5 SimserviceHub reserves the right to screen, edit, or remove reviews to ensure authenticity and compliance with these guidelines.
- 4.4.6 In the event a review is removed, SimserviceHub bears no liability for any loss, disclosure, or deletion associated with the review.
- 4.4.7 By submitting a review, you acknowledge that it may be shared with third parties in accordance with applicable laws and the platform’s Privacy Policy.
4.5 Competitions and Offers
Promotional offers and competitions hosted on SimserviceHub will be governed by their specific terms and conditions, which will be clearly stated on the platform.
4.6 Guarantee
If a customer is dissatisfied with services rendered by a Artisan, SimserviceHub may assist in resolving the issue through its discretionary guarantee program. Full terms, eligibility, and exclusions are outlined in the guaranteed policy available on the platform.
5. Quoting and Invoicing
5.1 Quotes
- 5.1.1 Tradespeople can create standalone quotes or quotes in response to a job posted by a customer using certain functionalities of the SimserviceHub platform. These quotes can be exported as PDFs or sent to customers either:
- (i) via the in-platform messaging service or
- (ii) through an email containing a link to the PDF within the platform.
- If a quote is not received as expected, customers are advised to contact the relevant Artisan directly.
- 5.1.2 Quotes are prepared at the Artisan’s discretion and typically include customer details, a breakdown of the scope of work, and related pricing. Customers are responsible for accepting, declining, requesting edits, or asking further questions about the quote directly to the Artisan.
- 5.1.3 Tradespeople can amend quotes at any time and send the revised versions to customers.
- 5.1.4 SimserviceHub recommends that customers and tradespeople use the in-platform messaging service to keep all communications safely stored in one place for easy access and completeness.
- 5.1.5 When accepting a quote, SimserviceHub advises both the customer and Artisan to formalize an agreement in writing. This agreement should clearly outline the scope of work, timelines, deliverables, and any agreed costs.
- 5.1.6 The contents of the quote and any subsequent interactions related to the quote or pricing are between the customer and the Artisan. These are neither offered, underwritten, nor approved by SimserviceHub.
5.2 Trade Invoicing, Amounts Payable, and Payment Service Provider
- 5.2.1 Once a quote has been created, a Artisan can raise an invoice based on the quote and send it to the customer. Unless you and your Artisan opt to use our Payments Processing Service (as described below), any subsequent correspondence, payment, or confirmation of payment is between the customer and the Artisan.
- SimserviceHub does not recommend customers pay before:
- (i) inspecting the work, or
- (ii) agreeing with the Artisan on its completion status.
- 5.2.2 The Payments Processing Service is an optional feature available through a payment service provider on an "As Is" and "As Available" basis. This service enables tradespeople to receive payments electronically for services provided through the SimserviceHub platform.
- 5.2.3 When using the Payments Processing Service, the Artisan must ensure that the payment request includes all amounts payable by the customer for the services performed.
- 5.2.4 Customers are responsible for paying the following:
- The fee agreed upon with the Artisan, including any applicable taxes.
- Fees for using the Payments Processing Service, as outlined in the relevant payment request. Details are provided on the platform.
- Administrative and collection charges for payments, including due dates, recovery, and disputes, as communicated directly by the Artisan.
- 5.2.5 For any disputes regarding payments made through the Payments Processing Service, refer to Clause 10 of these Terms.
- 5.2.6 SimserviceHub reserves the right to withdraw the Payments Processing Service at any time at its discretion.
5.3 Tax
5.3.1 Tradespeople are responsible for calculating the applicable VAT (Value Added Tax) for services included in their invoices. If VAT is payable, the Artisan may need to include their VAT registration number on the invoice.
5.3.2 For VAT arrangements regarding service provision, the transaction is solely between the Artisan and the customer. SimserviceHub acts merely as a disclosed agent for VAT purposes.
5.3.3 Customers are solely liable for the payment of VAT as stated in the accepted invoice.
5.3.4 Quotes and invoices will remain accessible on the platform while the Artisan’s account is active. Thereafter, these documents will be retained in line with our Trade Privacy Notice.
5.3.5 If a Artisan’s membership is cancelled or terminated, they will lose access to their account, including invoices and quotes. It is the Artisan’s responsibility to download these documents before cancellation or termination. Tradespeople can request access to their quotes and invoices after account termination by contacting us via the Contact Us page on the platform.
6 PLATFORM CONTENT
6.1 Intellectual Property
6.1.1 All rights to the SimserviceHub platform and its content, including but not limited to its design, text, graphics, images, logos, digital downloads, audio, video, data, software, and source codes, remain the exclusive property of Simul Management Solutions.
6.1.2 By accessing the platform, you are granted a personal, revocable, non-exclusive, and non-transferable license to use the platform solely for personal use and (if you are a customer) non-commercial purposes, in accordance with these Terms.
6.1.3 All trademarks, service marks, logos, and graphical elements associated with the platform, whether registered or unregistered, are the distinct and protected trademarks of Simul Management Solutions and/or its licensors. The platform may also feature third-party trademarks that are the property of their respective owners. Nothing in these Terms grants you the right to use any trademarks without the explicit permission of Simul Management Solutions or the relevant third party.
6.1.4 Tradespeople retain ownership of all their uploaded content, including intellectual property rights. By uploading content to the platform, you warrant that you are the owner or licensor of the content and have all necessary rights to do so without infringing on third-party rights. By doing so, you grant Simul Management Solution (and authorized third parties) a global, perpetual, non-exclusive, royalty-free, and transferable license to use, reproduce, distribute, create derivative works of, display, and perform your content across various media (including for platform operations, improvements, and promotion) without additional payment to you.
6.1.5 To the extent permitted by African law, you waive any moral rights associated with your content and agree not to assert intellectual property claims against Simul Management Solutions, its sublicensees, or assignees.
6.1.6 Unauthorized use of any intellectual property owned by Simul Management Solutions outside the permissions provided by these Terms may result in account suspension or termination. The company reserves the right to pursue legal action as deemed appropriate.
6.2 Copyright
6.2.1 Simul Management Solutions owns all rights to the SimserviceHub platform. Your use of the platform is subject to the following restrictions:
- You must not copy the platform, except for incidental use necessary for backup or operational security.
- You must not sublicense or otherwise make the platform, in whole or in part, available to others without prior written consent.
- You must not reproduce, modify, edit, or exploit the platform for commercial purposes without prior written consent.
- You must not disassemble, decompile, reverse-engineer, or create derivative works from any part of the platform.

6.3 Third-Party Links
6.3.1 The SimserviceHub platform (and related emails) may include links to third-party websites, applications, or digital properties maintained by third parties.
6.3.2 By visiting third-party sites, applications, or services, you assume full responsibility for and any risks associated with their use. It is your responsibility to verify the reputation of the third party and the quality of their services.
6.3.3 Simul Management Solutions is not responsible for the content, accuracy, or opinions expressed on third-party websites or services.
6.3.4 The inclusion of third-party links on SimserviceHub does not imply affiliation, endorsement, or association with these sites or services. Simul Management Solutions is not a party to any transactions between you and third parties.
6.3.5 Your interactions with third-party websites, applications, or services are subject to the respective third parties’ terms and policies, including their privacy policies. It is recommended that you carefully review all applicable terms before engaging with third-party properties or services.
7 LIABILITY
7.1 Compensation
You agree to defend, compensate, and hold Simul Management Solutions, its employees, and agents harmless from and against, without limitation, all claims, actions, proceedings, losses, liabilities, damages, costs, or expenses (including reasonable legal costs and expenses) suffered or incurred by us arising out of or in connection with any breach by you of these Terms, improper use of the platform, or breach of any applicable law or third-party rights. Simul Management Solutions reserves the right to handle its legal defense as it deems fit, even if you are compensating us. You agree to cooperate with us in executing our legal strategy.
7.2 Breach
7.2.1 If you breach or are suspected of breaching these Terms or any other terms applicable to services made available through SimserviceHub, we may take one or more of the following actions:
- Issue a warning to you.
- Suspend or terminate your account and/or access to the platform, as detailed in Clause 8.1.
- Initiate legal action against you.
- Disclose relevant information to law enforcement authorities as deemed necessary.
7.3 Limitation
7.3.1 While Simul Management Solutions makes reasonable efforts to ensure the accuracy of the information on SimserviceHub and to provide the platform with care and skill, no guarantee is made that the platform will meet your requirements. We do not commit that the content will be accurate, reliable, uninterrupted, error-free, or free of viruses and harmful elements.
7.3.2 Subject to Clause 7.4.2, we are not liable for any loss or damage suffered by you (even if foreseeable) related to your use or inability to use the platform, inaccuracies or delays on the platform, or reliance on platform content, unless caused by our material breach of these Terms or negligence.
7.3.3 If you are a Artisan, we are not liable for any indirect or consequential loss or damage (including loss of business, opportunity, data, profits, or revenue) arising from your use of the platform.
7.4 Exclusions
7.4.1 Customers using SimserviceHub have certain legal rights under African consumer protection laws. Nothing in these Terms affects these rights.
7.4.2 We do not exclude liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any other liability where exclusion would be unlawful under African law.
8. Account
8.1 Our Rights of Termination and Suspension
- We have no obligation to continue providing the platform. We reserve the right to modify or terminate all or part of the platform (including its services) or restrict access to any user for any reason at our discretion.
- We may terminate or suspend your account or restrict access to the platform at our discretion if you breach or threaten to breach these Terms.
- If you are a Artisan, your Membership Contract contains further details about our rights regarding termination and suspension of your membership.
- Accounts inactive or unverified for more than a year may be terminated.
- We bear no liability to you or third parties for terminating or suspending your account.
- Upon termination, your rights under these Terms immediately cease. Any accrued rights or remedies, including the right to claim damages for breaches before termination, remain unaffected.
8.2 Your Rights of Cancellation and Deletion
- Customers may stop using the platform or delete their account anytime via the "Delete Your Account" function in the app or website. Account data will be retained as per SimserviceHub’s Privacy Notice. Deleted accounts cannot be recovered.
- Tradespeople’s ability to use their account is governed by the terms outlined in their Membership Contract.
- To obtain a copy of your account data before deletion, you may request access in line with your rights under SimserviceHub’s Privacy Notice for customers or the Trades Privacy Notice for tradespeople.
9. Miscellaneous
9.1 Notice
- We may amend these Terms from time to time to reflect changes within the platform, including but not limited to, our technology, licensing arrangements, payment policies, best practices, relevant African laws, and/or regulatory requirements.
- We will provide notice to you if we are making any material changes to these Terms (for example, any changes that significantly impact the way that you receive the services via the platform), unless such material changes are urgently required to meet a legal or regulatory requirement or for security reasons.
- We may also update the platform from time to time and may change the content and functionality at any time where we deem it necessary to do so, without providing notice to you (for example: to reflect changes to our services, business needs, or the needs of platform users).
9.3 Force Majeure
Sometimes things happen that are outside of our control, such as acts of God, pandemics, strikes, technical failures, or supply failures. Due to these things outside of our control, our performance under these Terms may be suspended for the period of time over which the event occurs. During this period, we will not be liable to you for any delay or failure in the performance of any of our obligations within these Terms arising out of these circumstances or events. We will, of course, try to find a solution to help us to perform these Terms and take any reasonable preventive steps wherever possible.
9.4 Third Party Rights
No one other than us or you has any right to enforce any of these Terms.
9.5 Waiver
If we fail at any time to insist on strict performance of any of your obligations or if we fail to exercise any right or remedy under these Terms, this does not constitute a waiver of our rights or remedies and does not relieve you from compliance with your obligations under these Terms. Any waiver of any provision of these Terms will be effective only if in writing and signed by us.
9.6 Severance and Survival
- If any of these Terms should be determined to be invalid, illegal, or unenforceable for any reason by any court of competent jurisdiction, then such Term shall be severed, and the remaining Terms shall survive and remain in full force and effect and continue to be binding and enforceable.
- The provisions of certain clauses shall survive termination of these Terms.
9.9 Jurisdiction
These Terms and any dispute or claim arising out of, or in connection with, it, its subject matter, or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of Africa.
9.10 Disputes
If a dispute arises between you and us, we encourage you to first contact us directly to seek a resolution. If you are a Artisan, your Membership Contract contains details of dispute resolution options such as mediation.

We appreciate any feedback, ideas, and suggestions from you about the platform and/or our services, and you can leave feedback for us via sms-it-service@simu-l.com. If you provide us with feedback, you agree that we can use, quote, and/or refer to that feedback and/or content at our discretion.
